Q: What is e-Proxy and do I have to participate?
A: e-Proxy is the term used for the Securities and Exchange Commission's (SEC) new rule allowing for electronic delivery of TCC's Annual Report and Proxy Statement by posting the documents on our internet site. The SEC's rule entitled "Shareholder Choice Regarding Proxy Materials" was published on July 26, 2007 and is effective January 1, 2008. Under the rule, TCC had two choices for how to communicate with our shareholders: Notice Only or Full Set Delivery.

TCC is an early adopter in choosing the Notice Only option. The idea behind the Notice Only option of e-Proxy is for shareholders to be notified that the materials are available on the internet. The shareholders will then visit the site to obtain any information they want. Shareholders will receive a proxy card by mail ten days following the initial Notice, and will vote their shares by returning a completed proxy card. TCC decided to make this change because it aligns with our Values (Innovation and Social Responsibility). While this first year may be an adjustment, we believe that it is a change that will provide earlier and easier access of company information to our shareholders. In addition, by adopting this practice, we will avoid much of the expense associated with printing and mailing the Annual Reports and Proxy Statements to every shareholder. It also serves our value of Social Responsibility by reducing waste.

TCC decided to treat all shareholders alike, by providing the proxy materials through the Notice Only option to each shareholder. If you wish to receive physical copies of the proxy materials, contact us and we will send you a physical copy within three business days. If you wish to receive physical copies permanently, contact us and we will designate your account for an automatic mailing of all proxy materials in the future.


Q: Why did I receive a Notice of Availability of Proxy Materials? (back to top)
A: If you were a shareholder of record on April 1, 2008, you should have received a "Notice of Availability of Proxy Materials for the Shareholder Meeting to be Held on May 15, 2008." This mailing provides notice that Trinity Capital Corporation's (TCC) Annual Report and Proxy Statement are now available on its website at www.lanb.com/tcc/annual.asp. TCC is providing shareholders a choice on how they receive annual proxy materials. TCC is automatically providing you electronic delivery, but will provide physical copies now and in the future at your request. If you want to receive these documents electronically, you don't need to do anything. If you want to receive a physical copy of these documents, contact us at:

A:
One clear benefit is the reduced cost for printing and mailing materials. TCC continually tries to find ways to reduce unnecessary costs as a way to lower increase income. We also believe that e-Proxy aligns with our values of Social Responsibility and Innovation. We are excited to be one of the first reporting companies to embrace the new SEC rules which we believe will provide our shareholders with earlier and easier access to our Proxy Materials. Finally, we believe in our responsibility to continue to reduce waste and unnecessary consumption of materials. LANB and TCC adopted a commitment to the environment which includes: our EcoSmart loan program (which provides lower interest rates for sustainable goods and construction), we built our Downtown office with water harvesting and plan to build our Cerrillos Road office to the LEED Gold standards, we obtain up to 90% of our electricity from wind power through PNM, we use two hybrid bank vehicles, we encourage our customers to use e-Statements rather than receive paper statements in the mail, we recycle and strive to reduce paper consumption. Providing proxy materials to you electronically clearly complements our existing sustainability initiatives.


Q: What are the risks? (back to top)
A:
The biggest risk to using the Notice Only e-Proxy process is the impact it might have on voter turnout. Your vote is very important and we want to avoid the cost of a second proxy solicitation. Please make sure to submit your votes as soon as possible or plan to attend the Annual Meeting in May.

Q: Will I still receive a Proxy Card? (back to top)

Yes. We will mail each shareholder a Proxy Card(s) on or about April 17, 2008. Under the rules of the SEC, TCC cannot send your Proxy Card(s) with the Notice of Availability informing you that the Annual Report and this Proxy Statement may be viewed online or physical copies may be requested. The rule prohibits TCC from sending your Proxy Card(s) until ten days following the mailing of the Notice of Availability. Please remember that if you have multiple accounts reflected in our stock transfer records and/or in accounts with brokers or fiduciaries, you will receive one Proxy Card for each account. Please complete, sign and return ALL Proxy Cards to ensure that all of your shares are voted. If you do not receive a Proxy Card in the separate mailing, please contact us.


Q: Privacy and Viewing Materials on the Annual Report Website (back to top)
A:
Under the SEC's rules, TCC must maintain our Annual Meeting internet site in a manner that allows for the anonymity of viewers, which means no "cookies" will collect your information. TCC may not use any e-mail address provided solely to request a copy of the proxy materials for any other purpose or disclose that e-mail address to any person except to facilitate delivery of the requested proxy materials.


Q: Voting My Shares (back to top)
A:
There are a number of ways you may vote your shares: 1) by Mail; 2) in Person; and 3) by e-Mail. 1) To vote by mail, complete and sign the Proxy Card that will be mailed to you in a separate mailing on or about April 17, 2008 and mail it to Trinity in the accompanying pre-addressed envelope. No postage is required if mailed in the United States. If you mark your Proxy Card to indicate how you want your shares voted, your shares will be voted as you instruct. If you sign and return your Proxy Card but do not mark the card to provide voting instructions, the shares represented by your Proxy Card will be voted "for" all three nominees named in this Proxy Statement and "for" the ratification of Trinity's independent registered public accounting firm and in accordance with the judgment of the proxy holders on any other matter properly brought before the meeting and any adjournments and postponements of the meeting.
2) If you want to vote in person, please come to the meeting. We will distribute written ballots to anyone who wants to vote at the meeting. Please note, however, that if your shares are held in the name of your broker or fiduciary, you will need to arrange to obtain a legal proxy from your broker or fiduciary, as described below, in order to vote in person at the meeting. Even if you plan to attend the Annual Meeting, you should complete, sign and return your Proxy Card in advance of the Annual Meeting in case your plans change. Any vote you cast at the Annual Meeting will supercede a previously entered proxy.
